Terms of Service
1. Agreement and who we are
These Terms of Service ("Terms") are a contract between Lucas Systems ("LUXDrive", "we", "us") and the organization or person that creates a workspace, buys a plan or installs our software ("Customer", "you"). By creating a workspace, starting a trial, completing a purchase, downloading or using the software, you accept these Terms. If you accept them for an organization, you confirm that you are authorized to bind it.
Operator: Lucas Systems, Republic of Korea. Business registration number: 172-05-03200. Registered address: 15, Ichon-ro 88-gil, Yongsan-gu, Seoul, 04425, Republic of Korea. Representative: MYEONG HWAN KIM.
Purchases made on this site are sold by Paddle.com Market Limited ("Paddle") as merchant of record. Paddle collects payment, issues receipts and invoices and handles sales tax and VAT. Paddle's Checkout Buyer Terms apply to the purchase transaction itself; these Terms govern your use of LUXDrive. If you have a signed Enterprise agreement with us, it prevails over these Terms where they conflict.
2. Definitions
- Service: the hosted LUXDrive workspace, web console, APIs, viewers, desktop client, mobile apps, add-ins and related support.
- Software: any LUXDrive program you install, including the desktop client, LUXConnector, the Outlook add-in and, for on-premises licenses, the LUXDrive server.
- Workspace: the tenant that holds your organization's users, projects and files.
- Customer Content: files, metadata, comments, markups, messages and other data that you or your users upload to or create in the Service.
- Plan: the subscription tier, user limit and storage allowance you purchased.
- Authorized User: a person whom your administrator invites to the Workspace.
3. The Service
Subject to these Terms, we grant you a non-exclusive, non-transferable right to access and use the Service and the Software during your subscription for your internal business purposes, within the limits of your Plan. We continue to develop the Service and may add, change or retire features; we will not materially reduce the core functionality of a paid Plan during a paid term without offering a pro-rata refund of the affected period.
4. Accounts and administrators
The person who creates the Workspace becomes its administrator and is responsible for inviting and removing users, assigning roles and folder permissions, and configuring sharing policies. You are responsible for all activity under your Workspace, for keeping credentials confidential and for promptly telling us about any suspected unauthorized access. Each account is for one person and may not be shared. You must give accurate information and keep your administrator e-mail address current, because we send billing, security and service notices to it.
5. Plans, trials and renewal
- Trial. New subscriptions start with a 14-day free trial. Unless you cancel before it ends, the trial converts to a paid subscription and the payment method you provided is charged. We may limit trials to one per organization.
- Renewal. Subscriptions renew automatically for the same period (monthly or yearly) at the then-current price until cancelled. We will tell you at least 30 days before a price increase takes effect for a yearly term, and it applies from the next renewal.
- Limits. Your Plan defines the number of users and the storage allowance. If you exceed them we will ask you to upgrade; we will not delete data because a limit was exceeded.
- Changes and cancellation. You can upgrade, downgrade or cancel at any time in the customer portal. Upgrades are prorated by Paddle; downgrades and cancellations take effect at the end of the paid period, and access continues until then. See the Refund Policy.
- Failed payments. If a renewal payment fails, access continues for a grace period of 7 days while Paddle retries. After that the Workspace is suspended until payment succeeds; Customer Content is retained for 90 days after suspension.
6. Fees, taxes and payment
Prices are shown on the pricing page in US dollars unless Paddle shows a local currency at checkout. Paddle, as merchant of record, adds applicable sales tax, VAT or GST and issues the invoice. You authorize Paddle to charge your payment method for all amounts due. Fees are non-cancellable and, except as stated in the Refund Policy or required by law, non-refundable. Payment-processing disputes are handled first by Paddle; please contact us before opening a chargeback so that we can resolve the issue quickly.
7. Perpetual on-premises licenses
A perpetual license entitles you to run the LUXDrive server software on one production server (plus reasonable non-production copies for testing) within the user and module limits printed in the license, for as long as you wish. The license includes software updates for the maintenance period stated in the license key; builds released after the maintenance end date require renewed maintenance, but builds released before it keep working. The server checks its license key locally and does not send data to us. You may not share, resell, sublicense or transfer a key except to a successor of your whole business, and you may not remove or tamper with license checks. A refund under the Refund Policy revokes the key.
8. Customer Content
You own your Customer Content. You grant us a limited, worldwide, non-exclusive licence to host, copy, process, convert, index and display it only as needed to provide and secure the Service for you (storage, versions, previews and drawing conversion, search, notifications, backups, support at your request). We do not sell Customer Content, use it to train machine-learning models for other customers, or access it except to operate the Service, prevent abuse, comply with law or help you with a support request you initiated.
You are responsible for your Customer Content, for having the rights to upload it and for the legality of how you share it. You can export your files at any time through the web console or the desktop client. After termination we keep your Customer Content available for export for 30 days, then delete it from production within 30 days and from backups within a further 60 days, unless law requires us to retain it.
9. Acceptable use
You and your Authorized Users must not:
- upload or share content that is unlawful, infringing, malicious (malware) or that you have no right to share;
- probe, scan or test the vulnerability of the Service, or bypass authentication, rate limits, plan limits or license checks, except under a written security-testing agreement with us;
- interfere with the Service, other customers or our infrastructure, or use it to attack other systems;
- reverse engineer or copy the Service or Software except as permitted by law that cannot be waived;
- use the Service to build a competing product, or resell access except as a managed service for your own clients under an agreement with us;
- use API access beyond the published rate limits or in a way that degrades the Service for others.
10. Security and data protection
We apply technical and organizational measures designed to protect Customer Content, including encryption in transit, access controls and audit logging, tenant isolation, backups and monitoring. No system is perfectly secure; we will notify the Workspace administrator without undue delay, and where required by law within 72 hours, after becoming aware of a breach affecting your personal data. Our handling of personal data is described in the Privacy Policy. Where you upload personal data of others, you act as controller and we as processor; on request we will sign a data-processing agreement (including standard contractual clauses for international transfers).
11. Availability and support
We aim for 99.5% monthly availability of the hosted Service, excluding scheduled maintenance announced in advance, events outside our reasonable control and problems caused by your equipment or network. This is a target, not a guarantee; Enterprise agreements may define a service-level agreement with remedies. Support is provided by e-mail at admin@luxdrive.cloud on business days in the Korea Standard Time zone; Team and Enterprise customers receive priority handling.
12. Intellectual property
We and our licensors own the Service and the Software, including all related intellectual property. Except for the rights expressly granted here, no rights are transferred. If you send us feedback or suggestions, we may use them without obligation to you. Names and logos of LUXDrive and Lucas Systems are our trademarks; you may not use them without our written consent, except to refer to the Service accurately.
13. Third-party and open-source components
The Service and Software include third-party and open-source components that are licensed under their own terms, which apply to those components instead of these Terms. Integrations with third-party services (for example Autodesk Construction Cloud, Microsoft Outlook or your identity provider) are governed by those services' terms, and you are responsible for your use of them.
14. Suspension and termination
- By you. You may stop using the Service and cancel at any time; the subscription ends at the close of the paid period.
- By us for cause. We may suspend or terminate access if you materially breach these Terms and do not remedy it within 10 days of notice, or immediately if needed to stop an attack, prevent harm to others or comply with law. We will restore access once the cause is resolved where that is possible.
- By us for convenience. We may end a Plan with at least 90 days' notice and will refund the unused part of any prepaid period.
- Effect. On termination your right to use the Service ends, the data provisions in section 8 apply, and sections that by their nature survive (including 6, 8, 12, 15 to 17 and 19) continue.
15. Warranty disclaimer
To the maximum extent permitted by law, the Service and Software are provided "as is" and "as available". We disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and do not warrant that the Service will be uninterrupted or error-free or that drawings converted for viewing are an exact substitute for the original files. You remain responsible for checking engineering and construction information against the source documents before relying on it. Nothing in these Terms excludes rights that you have under mandatory consumer-protection law.
16. Limitation of liability
To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data-recovery costs, even if advised of the possibility; and (b) each party's total liability arising out of or related to these Terms is limited to the fees you paid to us (through Paddle) for the Service in the 12 months before the event giving rise to the claim. These limits do not apply to liability that cannot be limited by law, to your payment obligations, to a party's fraud or wilful misconduct, or to your breach of section 9 or infringement of our intellectual property.
17. Indemnification
You will defend and indemnify us against third-party claims, and the resulting damages and reasonable costs, arising from your Customer Content or your use of the Service in breach of these Terms. We will defend and indemnify you against third-party claims that the Service, as provided by us and used in accordance with these Terms, infringes that third party's intellectual property rights, provided that you notify us promptly, let us control the defence and cooperate. If such a claim is likely, we may modify the Service, obtain a licence or terminate the affected Plan with a pro-rata refund, which is your sole remedy for infringement claims.
18. Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days' notice by e-mail to the Workspace administrator and by notice in the web console before they take effect. If you do not agree you may cancel before the effective date and receive a pro-rata refund of any prepaid period; continued use afterwards means you accept the updated Terms. The version and effective date are shown at the top of this page.
19. Governing law and disputes
These Terms and any dispute arising from them are governed by the laws of the Republic of Korea, without regard to conflict-of-law rules. The Seoul Central District Court has exclusive jurisdiction in the first instance, without prejudice to any mandatory right of a consumer to bring proceedings in their country of residence. Before starting proceedings, both parties will try in good faith to resolve the dispute by written notice and discussion for 30 days. The UN Convention on Contracts for the International Sale of Goods does not apply.
20. General
- Entire agreement. These Terms, the Privacy Policy, the Refund Policy and any order or Enterprise agreement are the entire agreement on their subject and replace earlier discussions.
- Severability and waiver. If a provision is unenforceable, the rest remains in force; failing to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our consent, except to a successor of your whole business; we may assign them to an affiliate or successor.
- Force majeure. Neither party is liable for failure caused by events beyond its reasonable control, including natural disasters, war, labour disputes, government action and failures of public networks or cloud providers.
- Export and sanctions. You will not use the Service in violation of applicable export-control or sanctions laws.
- Notices. We send notices to the administrator's e-mail address; you send them to the contact address below. Notices are effective one business day after sending.
- Language. The English version of these Terms prevails over any translation.
